Brio Bridge does not directly collect, process, transmit, or store payment card information. All payment transactions are processed exclusively through third-party payment gateways that are PCI-DSS Level 1 compliant. Brio Bridge expressly disclaims all liability for any payment made using a stolen, cloned, counterfeit, fraudulently obtained, or otherwise unauthorized payment card or bank account. In the event that funds are received by Brio Bridge in good faith and it is later determined that the payment was made with an unauthorized instrument: (a) Brio Bridge acted as an innocent merchant relying on the authorization provided by the payment processor; (b) any investigation, chargeback, or fraud claim is the responsibility of the cardholder, issuing bank, payment network, and/or relevant law enforcement; (c) services rendered in good faith prior to notification of fraud will not be reversed or refunded; and (d) Brio Bridge reserves the right to pursue all available civil and legal remedies against any party who uses unauthorized payment instruments.
We retain personal information for as long as necessary to fulfill the purposes for which it was collected, comply with applicable legal and regulatory obligations, resolve disputes, and enforce our agreements. Client records, contracts, and related communications are retained for a minimum of seven (7) years following the conclusion of the engagement, consistent with U.S. business records retention standards. Financial and billing records are retained for a minimum of seven (7) years as required by IRS guidelines. Marketing contact data is retained until you opt out. You may request deletion of your data subject to our legal retention obligations.
We implement commercially reasonable and industry-standard administrative, technical, and physical safeguards to protect your personal information from unauthorized access, disclosure, alteration, or destruction. These measures include encrypted data transmission (TLS/SSL), access controls, and regular security assessments. However, no data transmission over the Internet or electronic storage system is 100% secure. You acknowledge and accept this inherent risk. Brio Bridge is not liable for unauthorized access to personal information resulting from circumstances beyond our reasonable control, including cyberattacks, data breaches at third-party service providers, or force majeure events.

This Refund, Payment & Service Terms policy ("Policy") governs all financial transactions and service engagements between Brio Bridge LLC ("Brio Bridge," "we," "us," "our") and its clients ("Client," "you"). This Policy is incorporated by reference into all service agreements, statements of work (SOWs), and proposals issued by Brio Bridge. By making any payment or executing any service agreement with Brio Bridge, you agree to be legally bound by this Policy in its entirety.
All payments made to Brio Bridge are final and non-refundable as a general rule. Professional services involve the immediate and irreversible allocation of expert personnel, time, proprietary methodology, software tools, third-party resources, and infrastructure upon engagement commencement. Compensation is earned from the moment work begins, not upon final delivery. This no-refund position applies across all six service divisions unless an explicit exception is stated in this Policy or in a separately executed written agreement.
(a) Deposits: All engagements require a non-refundable deposit of 50%–100% of the total estimated fee prior to work commencement. The specific deposit amount is stated in the applicable SOW or proposal. (b) Retainers: Monthly retainer fees are invoiced and due at the start of each billing cycle and are non-refundable once the billing period has commenced, regardless of service utilization. (c) Milestone Payments: Project-based engagements may be structured with milestone-based payments. Each milestone payment is due upon completion of the preceding milestone and is non-refundable. (d) Net Terms: Unless otherwise specified in writing, all invoices are due Net 7 days from the invoice date. (e) Late Payment: Overdue balances accrue a late payment fee of 1.5% per month (18% per annum) on the outstanding principal from the due date. (f) Suspension: Brio Bridge reserves the right to suspend all services immediately and without notice upon non-payment, without any liability to the Client for resulting delays, losses, or damages. (g) Collections: Accounts unpaid after 60 days may be referred to a collections agency. The Client shall be liable for all collection costs, including attorney's fees.
The following are absolutely non-refundable under any circumstances across all service divisions: (a) Onboarding, setup, and account configuration fees; (b) Initial consultation fees and discovery sessions; (c) Any work product commenced, including drafts, prototypes, research, outlines, or partial deliverables; (d) Retainer and subscription fees for any period already commenced; (e) Third-party costs incurred on the Client's behalf (software licenses, advertising spend, API fees, permit fees, subcontractor costs, filing fees, etc.); (f) Rush service or expedited delivery premiums; (g) Any deliverable that has been delivered to, accessed by, reviewed by, or approved by the Client in any form; (h) Services delayed or disrupted due to Client failure to provide required materials, access, approvals, feedback, or information in a timely manner; (i) Services paused at Client's request; (j) Translation, interpretation, or localization services; and (k) Training, documentation, and knowledge-transfer sessions.
The following terms apply on a per-division basis and supersede the general no-refund policy only to the extent explicitly stated:
4A. Technology & Digital Solutions
Review Period: Clients may request a revision or dispute a deliverable within 14 calendar days of delivery. After 14 days, all deliverables are deemed accepted without reservation.
Revisions: Each SOW includes a defined number of revision rounds. Revisions within scope and within the review period are included. Out-of-scope changes are billed separately.
Refund Eligibility: No refunds are issued for completed work. If Brio Bridge is unable to deliver a defined milestone due solely to our material failure (not client-caused delays), a partial service credit (not cash refund) may be issued at our sole discretion for the undelivered portion only.
Staff Augmentation: No refunds on any billed period. Minimum 14-day written notice to reduce or terminate augmented staff. Client is liable for the full notice period regardless of utilization.
4B. Engineering & Estimation (CAD, BIM, Estimating, QTO, Xactimate)
No Review Period — No Refunds. Estimation, takeoff, and engineering deliverables are time-sensitive professional work products used for bidding, procurement, and regulatory submissions. No review period, revision window, or refund applies to any estimation or engineering service. Once delivered, the work is complete and payment is fully earned. This applies regardless of whether the estimate was used, whether the Client won the bid, whether project plans changed, or whether the Client's deadline has passed. Xactimate and insurance restoration estimates are similarly final upon delivery. Errors reported within 48 hours of delivery may be reviewed and corrected at Brio Bridge's discretion as a professional courtesy — this does not constitute a refund or admission of liability.
4C. Logistics & Fleet Management (Dispatch, Fleet Ops, DOT Compliance)
Dispatching Services: No refunds on any dispatching fees, whether flat-rate monthly or per-load commission. Once a load is booked or a truck is dispatched, the fee is fully earned. Monthly retainer: 30-day written notice required to cancel; fees during notice period are non-refundable.
Fleet Management & DOT Compliance: Monthly retainers are non-refundable. Services are deemed rendered on a per-day basis. Pro-rata credits are not issued for partial months.
Consulting Engagements: Consulting fees are non-refundable once the engagement begins. Reports and recommendations delivered are final.
4D. BPO / Customer Support
Review Period: Service quality disputes must be raised in writing within 7 calendar days of the end of each billing cycle. Disputes not submitted within this window are waived.
Agent Performance: Brio Bridge will make reasonable efforts to address documented performance issues. Replacement of underperforming agents is offered as a remedy — not refunds.
Minimum Commitment: All BPO engagements carry a minimum 30-day commitment. No refunds or credits are issued for the minimum commitment period under any circumstances. After the minimum period, cancellation requires 30 days' written notice; fees during the notice period are non-refundable.
Setup Fees: Non-refundable under all circumstances.
4E. Finance & Accounting
Review Period: Clients may dispute a financial deliverable (bookkeeping reports, tax filings, financial statements) within 7 calendar days of delivery. After this period, deliverables are deemed accepted.
Tax Services: Tax preparation and filing fees are non-refundable once the return is prepared, regardless of tax outcome, audit result, or amendment requirements. Amendments due to Client-provided incorrect information are billed separately.
CFO Advisory: Monthly retainer fees are non-refundable. 30-day written notice is required to terminate. Results from advisory services (fundraising outcomes, investor decisions, business performance) are not guaranteed and do not affect fee obligations.
ERP Implementation: Milestone-based; each completed milestone is non-refundable. Project delays caused by Client (lack of access, data, personnel) do not suspend payment obligations.
4F. HR & People Operations
Review Period: Clients may dispute an HR deliverable (policy documents, handbooks, job descriptions, training materials) within 14 calendar days of delivery.
Recruitment: Recruitment fees are earned upon the Client's acceptance of a candidate offer. If a placed candidate voluntarily departs or is terminated within 30 days of start date due to reasons unrelated to Client misconduct, Brio Bridge will conduct one replacement search at no additional placement fee. This is a one-time replacement guarantee per placement — not a refund. No replacement is offered if the Client terminates the employment relationship.
Payroll Administration: Monthly fees are non-refundable. Errors in payroll processing reported within 3 business days of delivery will be corrected at no charge. Errors reported after 3 business days may incur correction fees.
Full HR Outsourcing: Monthly retainer non-refundable. 60-day written notice required to terminate full HR outsourcing agreements.
(a) Before Work Commences: If Client cancels in writing before any work has begun, the deposit is forfeited in full. No additional fees are due.
(b) After Work Commences: Client is liable for: (i) all work completed to date, calculated at Brio Bridge's standard hourly or day rates, whichever is greater; (ii) all third-party costs already incurred on Client's behalf; and (iii) any non-cancellable commitments made on Client's behalf (subcontractors, software licenses, etc.).
(c) Retainer & Monthly Services: Cancellation requires written notice per the division-specific notice period above. All fees accrued through the end of the notice period are due and non-refundable.
(d) Termination for Cause: Brio Bridge reserves the right to immediately terminate any engagement for cause, including but not limited to: non-payment; material breach of any agreement; abusive, threatening, or harassing conduct toward Brio Bridge personnel; provision of false or misleading information; or use of unauthorized payment instruments. Termination for cause forfeits all fees paid and does not entitle the Client to any refund or credit.
(a) Internal Dispute Process: All disputes regarding services, invoices, or deliverables must be submitted in writing to hello@briobridge.com within the applicable review period for each division (see Section 4) or within 7 calendar days of the disputed event if no division-specific period applies. Disputes not submitted within the applicable window are conclusively waived and deemed accepted.
(b) Response Time: Brio Bridge will respond to timely dispute submissions within 10 business days with a proposed resolution.
(c) Binding Arbitration: If the parties cannot resolve a dispute through good-faith negotiation within 30 days, the dispute shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in New York County, New York. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
(d) Class Action Waiver: All claims must be brought in the parties' individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims.
(e) Limitation of Liability: Brio Bridge's maximum aggregate liability to the Client for any and all claims shall not exceed the total fees paid by the Client to Brio Bridge in the 90 calendar days immediately preceding the event giving rise to the claim. Brio Bridge shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to lost profits, lost data, or loss of business opportunity, regardless of the theory of liability.
(f) Governing Law: This Policy and all disputes arising hereunder shall be governed by the laws of the State of New York, without regard to its conflict of law provisions. Subject to the arbitration requirement, the parties consent to exclusive jurisdiction in the state and federal courts located in New York County, New York.
Initiating a chargeback, payment reversal, or dispute with your bank, card issuer, or payment processor without first completing Brio Bridge's internal dispute resolution process (Section 6(a)) constitutes a material breach of this Policy and any applicable service agreement. Upon any such chargeback, Brio Bridge reserves the right to, without limitation: (a) immediately suspend all services without notice and without any liability for resulting damages; (b) permanently terminate the Client relationship; (c) submit comprehensive evidence to the payment processor, card network, and issuing bank to contest the chargeback, including contracts, communications, invoices, and proof of delivery; (d) seek recovery of the full disputed amount plus chargeback fees (which typically range from $25–$100 per occurrence as charged by the payment processor), attorney's fees, administrative costs, and collection costs through all available civil and legal remedies; and (e) report the outstanding balance to credit bureaus and collection agencies where applicable. Brio Bridge has a documented practice of contesting chargebacks and will vigorously pursue all available remedies for bad-faith disputes.
Brio Bridge expressly bears zero liability for payments made using stolen, cloned, counterfeit, compromised, fraudulently obtained, or otherwise unauthorized payment cards, bank accounts, or payment instruments. Brio Bridge acts as an innocent recipient and merchant of record in good faith. Our payment processing is handled exclusively by third-party PCI-DSS compliant payment gateways — Brio Bridge does not have access to, store, or process raw card data at any point. In the event a payment received by Brio Bridge is subsequently identified as having been made with an unauthorized instrument: (a) Brio Bridge has no obligation to reverse, refund, or credit any amounts; (b) all work performed prior to notification of the unauthorized payment was rendered in good faith and remains fully compensable; (c) any investigation, chargeback, or fraud claim is the sole responsibility of the cardholder, the issuing financial institution, the payment processor, and/or relevant law enforcement authorities; (d) Brio Bridge will cooperate fully with legitimate law enforcement investigations but shall not be held financially liable for fraud perpetrated by third parties; and (e) any person or entity that knowingly uses an unauthorized payment instrument to obtain services from Brio Bridge shall be fully and solely liable for all resulting losses, fees, chargeback costs, legal fees, and any applicable civil or criminal penalties under 18 U.S.C. § 1029 (fraud and related activity in connection with access devices) and applicable state law.
All prices quoted by Brio Bridge are in United States Dollars (USD) unless explicitly stated otherwise in a written proposal or SOW. Clients are solely responsible for all applicable local, state, federal, and international taxes, import duties, withholding taxes, value-added taxes (VAT), goods and services taxes (GST), and any other fiscal obligations arising in their jurisdiction. Brio Bridge is not responsible for currency conversion fees or foreign transaction fees charged by the Client's bank or payment processor.
Brio Bridge shall not be liable for any delay or failure to perform services resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, power or internet outages, cyberattacks, pandemics, or labor disputes. During a force majeure event, payment obligations of the Client are not suspended or waived.
This Policy, together with any applicable SOW, proposal, or service agreement, constitutes the entire agreement between the parties with respect to the subject matter herein. Brio Bridge reserves the right to modify this Policy at any time. Updated versions will be posted on our website with a revised effective date. Continued engagement or payment following any modification constitutes acceptance of the updated Policy. Modifications to specific SOW terms require a written amendment signed by both parties.

These Terms and Conditions ("Terms") constitute a legally binding agreement between Brio Bridge LLC ("Brio Bridge," "we," "us," or "our") and you ("Client," "User," or "you"). These Terms govern your access to and use of the website briobridge.com ("Site") and all professional services provided by Brio Bridge. By accessing our Site, submitting an inquiry, executing a service agreement, or making any payment to Brio Bridge, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must immediately cease using the Site and refrain from engaging our services.
Brio Bridge provides professional business services across six divisions: Technology & Digital Solutions, Engineering & Estimation, Logistics & Fleet Management, BPO / Customer Support, Finance & Accounting, and HR & People Operations. The specific scope, deliverables, timeline, and fees for each engagement are defined in a Statement of Work (SOW) or written proposal mutually agreed upon by the parties. In the event of any conflict between these Terms and a specific SOW, the SOW shall control solely with respect to the conflicting provision.
You represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal authority to enter into a binding agreement on behalf of yourself or any entity you represent; (c) all information you provide is accurate, current, and complete; and (d) you will promptly update any information that changes. You are responsible for maintaining the confidentiality of any login credentials and for all activities conducted under your account.
To enable Brio Bridge to perform services effectively, the Client agrees to: (a) provide accurate, complete, and timely information, materials, data, access, and approvals required for service delivery; (b) designate a qualified point of contact with decision-making authority; (c) respond to Brio Bridge communications within 3 business days unless otherwise agreed; (d) review and provide feedback on deliverables within the applicable review window specified in the Refund & Payment Policy; and (e) ensure that all materials provided to Brio Bridge are lawful, do not infringe third-party rights, and do not contain malicious code or content. Delays in service delivery caused by Client's failure to meet these obligations shall not entitle the Client to any reduction in fees, refund, or extension of any warranty or guarantee.
All fees are as specified in the applicable SOW or proposal. Brio Bridge reserves the right to adjust fees for ongoing engagements with 30 days' written notice. All payment terms, late fees, suspension rights, and collection policies are governed by the Refund, Payment & Service Terms policy, which is incorporated herein by reference. Acceptance of a proposal or SOW constitutes Client's agreement to the stated fees and payment schedule.
Pre-Existing IP: Each party retains ownership of all intellectual property created prior to or independently of the engagement ("Background IP"). Brio Bridge retains all rights to its methodologies, frameworks, tools, templates, software, and know-how.
Work Product: Upon receipt of full payment for a deliverable, Brio Bridge assigns to the Client the right to use the specific work product created for the Client under the SOW, excluding any Background IP embedded therein. Brio Bridge retains a non-exclusive, perpetual license to use anonymized versions of work product for portfolio and marketing purposes.
Non-Payment: No intellectual property rights transfer to the Client until all outstanding fees are paid in full. Brio Bridge may revoke access to any deliverable for which full payment has not been received.
Third-Party IP: If the scope requires use of third-party software, fonts, images, or other licensed materials, the Client is responsible for obtaining and maintaining appropriate licenses.
Each party agrees to maintain the confidentiality of the other party's non-public business information ("Confidential Information") disclosed in connection with the engagement. Confidential Information shall not be disclosed to third parties without prior written consent, except: (a) to employees, contractors, or advisors on a need-to-know basis who are bound by equivalent confidentiality obligations; (b) as required by law, regulation, or valid court order, provided the disclosing party gives reasonable prior notice where legally permissible; or (c) information that is or becomes publicly available through no breach of these Terms. This confidentiality obligation survives termination of the engagement for a period of three (3) years.
Brio Bridge warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY STATED, BRIO BRIDGE MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. BRIO BRIDGE DOES NOT WARRANT THAT SERVICES WILL ACHIEVE ANY SPECIFIC BUSINESS OUTCOME, REVENUE TARGET, SEARCH RANKING, REGULATORY APPROVAL, BID WIN, INVESTMENT RESULT, OR OTHER RESULT. Estimation and engineering deliverables represent professional opinions based on available information and are not guarantees of actual project costs or performance.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) BRIO BRIDGE'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR ANY SERVICE ENGAGEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT IN THE 90 DAYS PRECEDING THE CLAIM; (b) BRIO BRIDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (c) THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE). Some jurisdictions do not allow the exclusion of certain damages; in such jurisdictions, our liability is limited to the maximum extent permitted by law.
Client agrees to indemnify, defend, and hold harmless Brio Bridge LLC and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to: (a) Client's breach of these Terms or any SOW; (b) Client's use of deliverables in violation of applicable law or third-party rights; (c) materials, data, or instructions provided by Client that infringe third-party intellectual property rights, violate applicable law, or cause harm; (d) Client's negligence or willful misconduct; or (e) any unauthorized payment instrument used by or on behalf of the Client.
You agree not to use the Site or our services to: (a) violate any applicable federal, state, local, or international law or regulation; (b) engage in fraudulent, deceptive, or misleading activity; (c) infringe upon the intellectual property rights of any third party; (d) transmit malicious code, viruses, or disruptive content; (e) harvest, scrape, or collect personal information of others without authorization; (f) circumvent, disable, or otherwise interfere with the security features of the Site; (g) use our services to produce content or engage in activities that are illegal, defamatory, obscene, or harmful; or (h) resell or sublicense our services without prior written consent.
Either party may terminate an engagement upon written notice as specified in the applicable SOW or the Refund & Payment Policy. Brio Bridge reserves the right to immediately terminate any engagement and/or access to the Site for any Client who: breaches these Terms; fails to make timely payment; engages in abusive or threatening conduct; provides fraudulent information; or uses unauthorized payment methods. Termination does not release the Client from any outstanding payment obligations. Sections 5, 6, 8, 9, and 12 of these Terms survive termination.
All disputes arising out of or in connection with these Terms shall be governed by the laws of the State of New York, USA, without regard to conflict of law principles. Disputes shall be resolved through binding arbitration as set forth in Section 6 of the Refund, Payment & Service Terms policy, which is incorporated herein. The parties expressly waive any right to a jury trial. For injunctive or emergency relief, either party may seek relief in the state or federal courts of New York County, New York, and each party consents to personal jurisdiction therein.
By using the Site and submitting forms, you consent to receiving electronic communications from Brio Bridge, including emails, text messages, and in-app notifications. You agree that electronic agreements, contracts, signatures, and communications satisfy any legal requirement that such communications be in writing, consistent with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), 15 U.S.C. § 7001 et seq., and applicable state law. An email confirmation or digital signature on a proposal or SOW constitutes a legally binding agreement.

These Terms, together with our Privacy Policy, Refund & Payment Policy, and any applicable SOW or service agreement, constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior negotiations, representations, warranties, and agreements. If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Failure by either party to enforce any provision of these Terms shall not constitute a waiver of that party's right to enforce such provision in the future. All waivers must be in writing and signed by an authorized representative of the waiving party.
